Introduction

These Terms & Conditions ("Terms") govern your access to and use of products and services operated by Concya Labs Inc. ("Concya," "we," "us," or "our"), including our RSRVE restaurant reservation platform, Atlas voice solutions, related websites, dashboards, APIs, and any associated voice AI experiences (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

Eligibility and Accounts

You may use the Services only if you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information when creating or updating your account, and to promptly update such information as needed.

Restaurant and Business Use

If you operate a restaurant or other business using the Services, you are responsible for:

  • The accuracy of information you provide (including menu items, prices, hours, and reservation rules)
  • Compliance with all applicable laws and regulations, including consumer protection and privacy laws
  • Honoring reservations, offers, and other commitments made through the Services

Concya does not control your business operations and is not responsible for your interactions with guests or customers.

Voice AI, Calls, and Recordings

The Services may route, answer, or generate phone calls and other voice interactions using AI systems. Calls may be recorded and transcribed as described in our Privacy Policy.

You are responsible for ensuring that your use of call recording and AI-generated responses complies with applicable law, including requirements to notify callers about monitoring or recording and to obtain any required consents.

AI outputs may not always be accurate, complete, or appropriate for every situation. You remain responsible for reviewing and verifying information before relying on it.

SMS/Text Messaging

As part of the Services, we may send transactional SMS/text messages, including reservation confirmations, account or handle setup confirmations, delivery or status alerts, and security-related notifications. SMS use is further described in our Privacy Policy.

You agree that, where required, you will obtain and document appropriate consent from end users to receive SMS messages related to your use of the Services, and you will respect opt-out requests (for example, when a user replies STOP) promptly.

Message and data rates may apply. Concya is not responsible for fees charged by your or your customers' mobile carriers.

Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe or misappropriate the rights of any third party
  • Send spam, unsolicited marketing, or abusive content
  • Attempt to probe, scan, or test the vulnerability of any system or network
  • Reverse engineer or attempt to derive source code from any part of the Services

We may suspend or terminate access to the Services immediately if we believe you have violated these restrictions.

Fees and Billing

Access to certain features of the Services may require payment of fees, subscriptions, or usage-based charges. Pricing, billing terms, and plan details will be presented to you at the time of signup or order and may be updated from time to time in accordance with any applicable agreement between you and Concya.

Unless otherwise stated, all fees are non-refundable, except where required by law. You are responsible for any applicable taxes, duties, or similar governmental assessments related to your use of the Services.

Intellectual Property

Concya and its licensors own all rights, title, and interest in and to the Services, including all software, interfaces, designs, logos, and content, except for content you or your customers provide.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Services unless expressly permitted by us in writing.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing or performance.

We do not guarantee that the Services will always be secure, error-free, or available at any particular time or location.

Limitation of Liability

To the maximum extent permitted by law, Concya and its affiliates, officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Services
  • Any conduct or content of any third party on or via the Services
  • Unauthorized access, use, or alteration of your transmissions or content

In all cases, Concya's aggregate liability arising out of or relating to the Services will not exceed the amounts you have paid to Concya for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars (USD $100) if you have not had any payment obligations.

Indemnification

You agree to indemnify, defend, and hold harmless Concya and its affiliates, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services or your violation of these Terms.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.
